1. Preamble

Trifem Kft. (hereinafter: “TriFem” or “Service Provider”) is committed to the development, production, and sale of quality dietary supplements and cosmetics (hereinafter: “Products”) that support health maintenance and a healthy lifestyle. TriFem carries out the sale of the Products through an online store (hereinafter: “Webshop”) operating on the website https://www.puura.hu/ (hereinafter: “Website”). At TriFem, we are pleased that you have visited our Website. Products can only be purchased electronically via the Webshop.

A condition for purchasing in the Webshop is that the buyer accepts these General Terms and Conditions (hereinafter: “General Terms and Conditions” or “GTC”) as binding upon themselves, regarding which they shall make a legal declaration during the order process.

1. Subject of the GTC, Contracting Parties

These General Terms and Conditions contain the rights and obligations of TriFem and the natural persons or other legal entity users and buyers who order and purchase Products sold in the Webshop (hereinafter “You” or “User”), including, but not limited to, the conditions for the formation of the contract, delivery deadlines, shipping and payment terms, liability rules, as well as the conditions for exercising the right of withdrawal. (TriFem and the User hereinafter collectively: “Parties”)

1. General information, formation of the contract between the Parties

The scope of these GTC applies exclusively to orders placed by you in the Webshop and to the Products purchased.

Every person who has reached the age of 16 is entitled to purchase the Products sold by TriFem, provided they accept the provisions of these GTC through their conduct. By clicking on the "Order" button or any button whose designation refers to this, indicating the finalization of the order and a payment obligation (hereinafter: “Order” button), you accept the provisions of these GTC and thus expressly declare that you have read the conditions contained in these GTC — in particular the information contained in point IV of the GTC — and have accepted the GTC as binding upon yourself.

In the case of a purchase in the Webshop, a contract is formed between the Service Provider and the User upon the Service Provider’s confirmation of the order as described in point V of these GTC, in accordance with the provisions set out in these General Terms and Conditions. The formed contract does not constitute a written contract; it is created via an electronic legal declaration. The Service Provider keeps records of the contract according to the order/transaction number. The data entered by you at the time of placing the order, the data stored in the TriFem system regarding the ordered Product, other transaction data (e.g., bank confirmation), and the text of the GTC together constitute the contract.

The language of the contract is Hungarian, provided that you accept the Hungarian version of these GTC during the purchase or account registration.

The contract is governed by Hungarian law.

The Service Provider subjects itself to the provisions of the Hungarian Advertising Ethics Code as a code of conduct.

The GTC is continuously available in the footer of the Website’s homepage.

The Service Provider is entitled to unilaterally modify the GTC. In the event of an amendment to the GTC, the User shall be notified by publication on the Website. The modification of the GTC must not make performance more burdensome for the User qualifying as a consumer, and it may not affect the rights already acquired by the consumer.

Incapacitated persons and minors under 16 years of age with limited capacity may not use the services through the Website and may not order Products through the Webshop.

1. Pre-contractual information according to Section 11 of Government Decree 45/2014. (II. 26) on the detailed rules of contracts between consumers and businesses (“Decree”)

The Decree prescribes the following information for you regarding contracts concluded between distance parties before the conclusion of the contract, applicable to the businesses contracting with you, including TriFem. TriFem informs you of the following prior to the purchase. Please read the information carefully and proceed with the purchase acknowledging its contents.

a) Essential properties of the Service/Good

Every Product in the Webshop is presented with a detailed description, which facilitates the User’s selection of the Product and the decision to purchase. In addition to this, we draw your attention to the fact that the images on the pages serve for illustration purposes only; the actual products may differ minimally from those seen in the images.

b)-d) Name and contact details of the business, place of business activity

Detailed information can be found in point II.

The place of TriFem’s business activity is its registered office indicated in point II. You may address any potential complaints to any of the contact details indicated in point II.

e) gross amount of the good and service

The product data sheet contains the gross price of the given Product, increased by VAT. Prices are indicated in Hungarian Forints.

The Service Provider reserves the right to change prices without any prior notice. Our prices and our Products may change and expand continuously. In the case of individual promotions, the Products belonging to the scope of the promotion are clearly indicated in the Webshop, along with the relevant discounts; there is no possibility of combining discounts. Using two discounts at the same time is not possible. For promotional Products, the promotion lasts in all cases until the specified date or while stocks last. We consider only orders placed in the Webshop as to be fulfilled; if you were unable to order the discounted Product from the Webshop during the promotion/campaign period, you have no possibility to do so on other platforms (by e-mail or telephone), nor will you have the possibility to modify the order. You may withdraw within 14 days of your order, but in this case, you will no longer be entitled to the discount.

If we are unable to deliver the (promotional) ordered Product due to a lack of stock, we will send a notification to the e-mail address provided at the time of order and will refund the paid purchase price.

By purchasing the Products, you acknowledge that you are also liable for the shipping costs as per point VII of these GTC, and you undertake to pay them.

You can view the total gross amount of the order on the "Cart" page, which already includes any potential shipping costs, as well as the fee for cash-on-delivery payments, if applicable, and any discounts you may be entitled to are deducted from the gross price shown on the Product data sheet. Beyond the gross prices shown here, you cannot incur any further costs.

f) costs of a contract of indefinite duration or including a subscription

TriFem does not apply contracts for an indefinite period or flat-rate contracts.

g) fee for using the means of communication between distance parties

TriFem does not use premium-rate services; the internet or mobile connection required for the purchase is to be paid to your telecommunications provider based on your individual subscription contract.

h) conditions of performance (performance deadline, shipping, method of complaint handling)

You have the option to choose from the payment methods defined in point VI. The time of performance of the order and the conditions regarding shipping are contained in point VII. The rules regarding complaint handling are contained in point XII.

1. i)-l) Exercising the right of withdrawal and bearing the cost of return

You will find detailed information regarding your right of withdrawal, how to exercise the right of withdrawal, and bearing the costs related to return shipping in point VIII.

m) warranty for defects and product liability

The rights for warranty for defects and product liability due to the User regarding the Products sold by TriFem are contained in point XI.

n) warranty and post-performance customer service and other services

Based on Government Decree 151/2003. (IX. 22.), the warranty obligation does not apply to the Products sold by TriFem. TriFem operates a customer service reachable via electronic mail (e-mail) at the contact details defined in point II.

o) code of conduct

TriFem is a signatory to the Hungarian Advertising Ethics Code and has subjected itself to it.

p) duration of the contract and termination conditions

The contract with you is concluded for a definite period, lasting until the delivery of the ordered Product.

q) if the consideration for the good or service under the contract is personalized based on automated decision-making

The consideration for the given Product is never determined by automated decision-making in a personalized manner; TriFem applies prices that are uniform for everyone.

r) the shortest duration of the consumer’s obligations under the contract;

The contract with you is concluded for a definite period, lasting until the delivery of the ordered Product. The contract does not transform into one of indefinite duration; you have no obligations towards TriFem after the aforementioned period.

s) provision of any deposit or other financial security to be paid or provided by the consumer at the request of the business and its conditions;

TriFem does not request any security from you.

t)- u) functioning of goods containing digital elements, digital content and digital services, compatibility

Not applicable regarding the Products.

v)-w) out-of-court complaint handling method, possibility to turn to a conciliation body

You will find detailed information regarding the complaint handling methods you are entitled to in point XII.

1. Product selection, registration, purchase process, binding offer, confirmation

Registration is not required to purchase in the Webshop; however, you have the option to create a user account on the Website (hereinafter: “Registration”). Registration is free. With Registration, you can track your orders, place and manage your withdrawal declarations according to point VIII of these GTC, and save your shipping and billing data so you do not need to enter them repeatedly during future purchases.

A condition for Registration is that you have reached the age of 16, provide real, accurate, and complete data during Registration, and accept the provisions of these GTC as binding upon yourself. One User is entitled to create one user account. You are obliged to update any changes in the provided data in your user account without delay.

You are responsible for keeping the login details (e-mail address and password) belonging to the user account secret, as well as for the activities carried out in the account. TriFem does not assume responsibility for damages resulting from your password becoming known to an unauthorized third party, unless this occurred for a reason attributable to TriFem. If you notice that an unauthorized third party may have gained access to your user account, you are obliged to notify TriFem immediately at the contact details provided in point II of these GTC.

TriFem is entitled to suspend or delete the user account if the User violates the provisions of these GTC, engages in otherwise abusive conduct, or conduct that otherwise violates the rights of the Service Provider, or provides obviously incorrect or false data. You are entitled to request the deletion of your user account at any time at the contact details provided in point II of these GTC. The deletion of the account does not affect already placed orders. You will find detailed information about data processing related to Registration in the Privacy Policy.

You can add the selected Product to the “Cart”. Following this, it is possible to select further Products by continuing the purchase and adding them to the “Cart”. Before finalizing the order, you have the opportunity to modify the content of the “Cart”, remove a Product from there, modify the quantity, or add a new Product. You also have the possibility to check and, if necessary, correct the provided customer data.

To conclude the order, you must accept TriFem’s General Terms and Conditions. When ordering, it is mandatory to provide the data necessary for shipping and billing. The purchase of the selected Products takes place on the “Cart” page by pressing the “Order” button. The purchase can be interrupted at any time without consequences before pressing the “Order” button. By pressing the “Order” button, you send your offer regarding the order of the Products to TriFem.

TriFem confirms the arrival of the offer (order) sent by you without delay, but no later than within 48 hours, via an automatic confirmation e-mail, which confirmation e-mail contains the data provided by you during the purchase (e.g., billing and shipping information), the order ID, the date of the order, the enumeration of items belonging to the ordered Product, the quantity, the price of the Product, shipping costs, cash-on-delivery amount, and the total amount to be paid. This confirmation e-mail only informs you that your order has arrived at TriFem. In this regard, this confirmation e-mail does not constitute acceptance of the offer made by TriFem, and a valid contract is not formed between TriFem and you with this confirmation.

TriFem accepts your order (offer) via a separate acceptance e-mail, in which it informs you, among other things, of the formation of the contract and the expected time of delivery. A valid contract is formed between the Parties at this time.

You are released from the binding offer if you do not receive a separate acceptance e-mail from TriFem regarding your sent order without delay, i.e., within 48 hours.

If you have already sent your order to TriFem and notice an error regarding the data appearing in the confirmation e-mail, you are obliged to notify TriFem within 1 day at the e-mail customer service provided above, in order to avoid the fulfillment of unwanted orders or other orders with incorrect, faulty data.

TriFem reserves the right to reject the order in justified cases or to withdraw it at any time, temporarily or permanently, in particular:

• in case of providing false or incomplete data;
• in case of a low price confirmed by mistake or due to a program error;
• in case of lack of stock.

TriFem informs the User about the reason for the rejection or withdrawal via an e-mail message. TriFem does not assume responsibility for failure of performance or any potential damages resulting from the provision of data not in accordance with the above or your failure to notify about it.

1. Payment Terms

Payment can be made in the following ways:

1. Bank card payment by using the following payment service provider:

Shopify Payments: You have the option to settle the consideration of the order online, with a bank card, through Shopify’s secure payment interface. There is no need for Shopify registration for bank card payment. Bank card data does not reach the Service Provider; it is handled exclusively by Shopify’s system, in compliance with the highest level of security standards. 1. Shipping conditions
2. Method of receipt:

Personal receipt of the ordered Products is not possible.

TriFem carries out the delivery of the ordered Products through contracted courier company/companies (hereinafter: “Carrier”) defined in the document titled “Payment and shipping terms”.

The delivery of the goods is subject to the conditions of the shipping contract concluded between TriFem and the Carrier. Performance takes place by delivery to the shipping address provided by you or the selected Parcel Point/Parcel Locker, and handing it over to you or your authorized representative. The risk of damage transfers to you upon handover.

The expected delivery deadline is included in all cases in the order confirmation.

1. Shipping fee

TriFem hereby informs you that a shipping fee is payable for the delivery of the ordered Products in addition to the gross consideration of the ordered Products. The current shipping fees are contained in the document titled “Payment and shipping terms”, and they are also displayed on the Cart page before placing the order, when finalizing the order. If the shipping fee amount indicated in the Payment and shipping terms differs from that on the Cart page, the shipping fee indicated on the Cart page at the time of order finalization shall prevail.

TriFem reserves the right to change the shipping fee, provided that the modification does not affect the purchase price of already ordered Products.

1. Right of withdrawal and termination
2. TriFem’s right of withdrawal

Updating and refreshing inventory data happens daily; nevertheless, it may occasionally occur that although our system accepted the order, the Product is already sold out or cannot be procured; TriFem will notify you of this in all cases. The Service Provider is also entitled to the right of withdrawal in the event that the display of the Product’s price was erroneous and you finalized your order at the incorrect price. In case of withdrawal, TriFem sends its declaration to you by e-mail, and TriFem’s customer service will immediately contact you for coordination, and it will immediately refund the amount paid by you to your bank account.

1. Your right of withdrawal

According to Government Decree 45/2014. (II.26.) on the detailed rules of contracts between consumers and businesses, you may withdraw from the contract without giving reasons and return the ordered Product within 14 days from the receipt of the ordered Product. You are obliged to return the Product at your own expense. The deadline for withdrawal/termination in the case of a contract aimed at the sale of a product: “expires after 14 days from the day on which you or a third party indicated by you, other than the carrier, takes possession of the product”.

You may exercise your right of withdrawal and termination as follows:

• In the case of registration, within your user account, as well as
• online using the link found in the order confirmation email,
• or by using the withdrawal and termination declaration template attached as Annex 1 to these GTC, or by way of another clear declaration to this effect. In the latter case, if the consumer wishes to exercise their right of withdrawal, they are obliged to send their clear declaration stating their intention to withdraw (e.g., via mail or electronic letter) to TriFem using the contact details provided in Section II of these GTC.

The consumer exercises their right of withdrawal in due time if they send their withdrawal declaration to TriFem before the expiry of the deadline specified above. The burden of proof that they have exercised their right of withdrawal in accordance with the provisions set out in this section lies with the consumer. In the case of withdrawal in writing, it shall be considered exercised in due time if the consumer sends their declaration to this effect to the Service Provider within 14 calendar days (even on the 14th calendar day).

TriFem will in all cases acknowledge receipt of the consumer's withdrawal declaration immediately via email.

In the event of withdrawal, the consumer is obliged to return the ordered Product to the Service Provider's address indicated in Section II of these GTC without undue delay, but no later than 14 days from the communication of their withdrawal declaration. The deadline is considered met if the consumer sends (posts or hands over to their chosen courier) the Product before the expiry of the 14-day period. The cost of returning the Product to the Service Provider's address shall be borne by the consumer. The Service Provider is unable to accept packages returned with cash on delivery (COD). Apart from the cost of returning the Product, the consumer shall not bear any other costs in connection with the withdrawal.

If the consumer withdraws from the contract, TriFem will reimburse all payments received from the consumer, including the delivery costs paid by the consumer when placing the Order, without undue delay but no later than 14 days from the date of receipt of the consumer's withdrawal declaration.

Unless the Service Provider has otherwise agreed in advance, it is only obliged to reimburse the full purchase price to you upon the return of an undamaged, unused, complete, and unopened product. If the Product has been opened, there is no possibility of withdrawal.

If the packaging or the Product is damaged during the return, the resulting costs shall be borne by you. The Service Provider is not liable for any Product lost or damaged during return shipping. In the absence of the return of the Product, the Service Provider has no obligations whatsoever.

TriFem is entitled to withhold the refund until it has received the Product back or the consumer has provided credible proof that they have returned it: TriFem will consider the earlier of these two dates.

TriFem will refund the amount due using the same payment method as you used for the original transaction.

1. Other liability issues
2. TriFem is not liable for any damage or abuse arising during or as a result of payment by credit card.

1. In the event that, as a result of war, riot, act of terrorism, strike, accident, fire, blockade, flood, natural disaster, serious energy supply disruption, or any other unforeseeable and unavoidable obstacle beyond your or TriFem's control, either party is unable to fulfill any contractual obligation, that party shall not be liable for any loss or damage resulting from these events.

1. It is your responsibility to ensure that the data provided during the order is accurate. TriFem excludes its liability for any damage resulting from incorrect, erroneous, or false data or email addresses provided during the purchase. TriFem is responsible for fulfillment and issuing the invoice based on the data provided by you. You have the opportunity to check and modify your data at any time. TriFem is entitled to delete obviously incorrect or false data and, in case of doubt, is entitled to verify the authenticity of your data.

1. The Webshop sells the Products in the form of a cloud-based service. TriFem is not liable for any damages resulting from the improper functioning of the internet during the use of the service.

1. Warranties and guarantees

The Service Provider provides implied warranty and product warranty for the products sold to Users in accordance with the provisions of the Civil Code. Detailed information on your rights and options is provided in Annex 2 of these GTC. If you wish to make such a claim, please contact us in writing by sending a letter to the postal address or email address defined in Section II of these GTC. We will process your request in accordance with Section XII of these GTC.

1. Complaint handling, legal remedy

Certain legal remedies contained in this section are applicable if you purchase as a natural person acting outside the scope of your profession, independent occupation, or business activity, pursuant to Section 8:1 (1) point 3 of Act V of 2013 on the Civil Code (hereinafter: Civil Code).

You may submit your complaints in writing via letter/email to the addresses specified in Section II. We will investigate and provide a substantive response to written complaints within 30 days of their receipt. If you do not agree with our response, you may turn to the competent consumer protection authority, conciliation board, or court with your complaint.

If your complaint against TriFem is not resolved during negotiations with TriFem, you may utilize the following enforcement options:

1. Complaint to consumer protection authorities:

If you detect a violation of your consumer rights, you are entitled to file a complaint with the consumer protection authority competent for your place of residence. After evaluating the complaint, the authority will decide on conducting a consumer protection procedure.

1. Utilization of a conciliation board:

For the out-of-court, peaceful settlement of consumer disputes related to the quality and safety of services, the application of compliance rules, and the conclusion and performance of the contract, you may initiate proceedings at the conciliation board competent for your place of residence or stay, or you may turn to the conciliation board operating next to the professional chamber competent for TriFem's registered office. According to Section 2 a) of Act CLV of 1997 on Consumer Protection, a conciliation board may be utilized not only by consumers as defined by the Civil Code but also by civil organizations, religious legal entities, condominiums, housing cooperatives, micro, small, and medium-sized enterprises acting for purposes outside their independent occupation and economic activity, who purchase, order, receive, use, or utilize goods, or who are the addressees of commercial communications or offers related to the goods.

TriFem is obliged to participate in Conciliation Board proceedings. In relation to this point, sending a response may also count as cooperation in the case specified in Section 29 (11) of Act CLV of 1997 on Consumer Protection.

1. Court proceedings:

The consumer is entitled to enforce their claims arising from a consumer dispute before a court within the framework of civil proceedings in accordance with the provisions of the Civil Code and Act CXXX of 2016 on the Code of Civil Procedure.

1. Alternative Dispute Resolution (ADR) option:

In accordance with EU consumer protection regulations, we provide the following alternative dispute resolution (ADR) option for EU consumers: In the case of cross-border disputes, EU consumers may turn to their national ADR body or the European Consumer Centre Network (ECC-Net). For more information regarding national ADR bodies, please visit the European Commission's website, or consider the options above.

In the case of a User who does not qualify as a consumer as defined by Section 7 (1) point 5 of Act CXXX of 2016 on the Code of Civil Procedure, the court competent for TriFem's registered office shall have exclusive jurisdiction for all disputes arising from or in connection with these General Terms and Conditions. The contracting Parties shall do everything in their power to settle any disputes through negotiations. If this is not possible, the contracting parties stipulate the jurisdiction of the Budapest II and III District Court and the Metropolitan Court – depending on competence – to resolve the legal dispute. This stipulation does not apply to lawsuits where the plaintiff or defendant is a consumer.

1. Data protection

The protection of your personal data is of paramount importance to TriFem and its partners.

Personal data processed by TriFem in relation to the use of our Website and orders in the Webshop are managed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (of 27 April 2016) on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC.

1. Other provisions

For issues not regulated in these GTC, Hungarian law shall apply, in particular the provisions of Act V of 2013 on the Civil Code, Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses, Act CVIII of 2001 on certain issues of electronic commerce services and information society services, and Act CLV of 1997 on Consumer Protection.
